With reference to current report no. 51/2009 of 22nd September 2009 regarding conclusion of a conditional investment agreement with PBG S.A., the Management Board of Energomontaż-Południe S.A. (Issuer, Company) hereby announces that pursuant to Resolution no. 2 of the Extraordinary Meeting of the Company Shareholders of 22nd September 2009, on 6th November 2009, the Company issued 22,582,001 pieces of series A subscription warrants (Warrants). The issue of Warrants took place in relation to acceptance of the proposals of the warrants takeover submitted by the following entities:
- PBG S.A. that took over 17,743,002 warrants,
- Mr. Andrzej Hołda, performing the function of the Issuer's President, who took over 4,838,999 Warrants.
The Warrants were issued free of charge and they are unassignable. Each of the Warrants issued authorises its holder to take over the Company's 1 series E share at the issue unit price of PLN 3.45.
