Conclusion of an agreement with Biuro Projektów “Koksoprojekt" Sp. z o.o.

The Management Board of Energomontaż-Południe S.A. with its registered office in Katowice (Contractor Issuer Company) announces that on 3rd September 2009 another agreement (Agreement) was concluded between the Issuer and Biuro Projektów “Koksoprojekt” Sp. z o.o. (Employer) enabling the Issuer to develop their activity at the coke engineering market.

The Management Board of Energomontaż-Południe S.A. with its registered office in Katowice (Contractor, Issuer, Company) announces that on 3rd September 2009, another agreement (Agreement) was concluded between the Issuer and Biuro Projektów "Koksoprojekt" Sp. z o.o. (Employer) enabling the Issuer to develop their activity at the coke engineering market. The subject of the Agreement was delivery and installation of two facilities (a desorption apparatus and a catalytic decomposition system) under the investment performed by the Employer for which Employer is a general contractor consisting in construction of an installation for coke-oven gas purification fro ammonia and hydrogen sulphide including their environment-friendly and economically sound operation under a turn-key system for one of the domestic coking plants.
The value of the Agreement in question is PLN 45.6 million. The Agreement subject completion deadline enabling the installation start-up under the said investment task shall fall in May 2011.

The Agreement provides for specific contractual penalties the overall value of which shall not exceed 10% of the Agreement value. Clearance of all contractual penalties shall not limit the Employer's rights to claim compensation for any damages exceeding the sum of the penalties charged or paid.

The Agreement value exceeds 10% of the Issuer's equity capital, hence it meets the criterion of a master agreement.

The estimated value of the Company's portfolio of orders entailing the receipts in virtue of the said Agreement amounts to ca. 573.3 million PLN (the portfolio covers export orders for 61.7 million euro) including the portfolio of orders for the year 2009 for the amount of ca. PLN 313.1 million (the portfolio covers export orders performed in 2009 for the amount of EUR 31.9 million). The portfolio value has been determined based on the euro exchange rates assumed by the Issuer for calculation of the orders.
